General Terms and Conditions

(hereinafter referred to as viovia)

1. contractual relationship.
Deliveries and services of viovia are provided exclusively on the basis of these terms and conditions. They shall also apply to all future business relationships, even if they are not expressly agreed again. These terms and conditions are deemed to have been accepted when the order is placed, but at the latest when the goods or services are accepted. General terms and conditions of the customer are hereby expressly rejected. Deviations from these terms and conditions are only effective if they are confirmed in writing by the user. The sales partner or referral customer may sponsor other sales partners.

2. rejection.
If, in the event that viovia rejects the viovia Business Partner or Referral Customer, a provisional viovia business has already been conducted, the viovia Business Partner or Referral Customer shall be deemed closed on the date of receipt of the application by viovia and terminated on the date of receipt.

3. contract.
Each person may only establish one sales partnership with viovia. Multiple registrations are prohibited. Products may only be purchased directly from viovia. Sales in retail outlets, at trade fairs and markets, in particular with Internet auction houses, are prohibited.

4. sales partner.
The sales partner must be at least 18 years old and have full legal capacity. They must fulfill all other legal requirements for the proper and diligent management of a business; they must not have already been terminated as a viovia sales partner. viovia reserves the right to reject any viovia business partner application without giving reasons.

5. personal/business changes
viovia must be notified of any changes to your personal data (e.g. name, address, telephone number, business partner responsible, etc.) or business information (e.g. team expansion, team separation, change of status, etc.).

6. sales partner
The partner is now authorized to purchase products and services and to sell them to end customers in his own name and for his own account. The sales partner works on a part-time/self-employed basis and is neither an employee bound by instructions nor a contractor of viovia. He is expressly prohibited from creating any other impression in business dealings. Upon request, he must provide proof of business registration. He is responsible for obtaining the necessary official permits and paying taxes properly.

7.center customer
The referral customer is a normal customer.
He can sponsor. After requesting his commissions, he is a
sales partner.

8. The sales partner.
The sales partner shall only make statements about viovia products and earning opportunities that are consistent with the documents and sales aids. The Partner may only use viovia sales aids. The Partner is obliged to observe the industrial property rights of third parties and the rules of fair competition. If viovia is legitimately held liable by third parties due to a violation of the rules of fair competition or industrial property rights by the Partner, the sales partner must compensate viovia for all damages incurred as a result. The partner is not permitted to sell competing products together with viovia products.

9. commissions
If a sales partner or referral customer has won another person for the viovia business, they will receive the commissions provided for this according to the marketing plan.
The prerequisite for commissions from sales partners and on own sales is 20 MP (marketing points) of own sales.

10. line protection
Compliance with line protection is the irrevocable principle of viovia. It is not possible for a sales partner or referral customer to switch to another line. If partners separate, they can be referred again after 9 months. The exception is if it is the same sponsor.

11. return
The sales partner is obliged to arrange for warranty and/or reversal of the purchase contract 14 days after delivery to the end customer without giving reasons. The end customer has the choice between a credit note, exchange or refund. Sales aids and documents are excluded from the right of return.

12 Termination
The sales partnership may be terminated by viovia if the sales partner has not placed an order for 12 months. viovia may terminate without notice if the line protection is violated, a sales partner is poached or attempted to be poached by viovia, or unauthorized sales aids are used.

13. changes
viovia’s Terms and Conditions and Policies and other elements of the viovia Business Partner Agreement may be revised by viovia from time to time. Changes to the viovia Terms and Conditions and Policies and the viovia Marketing Plan will be submitted to experienced representatives of the Sponsor Lines for discussion and review prior to posting the new viovia Terms and Conditions on the viovia websites or by other legally permissible means. All changes shall come into force on the date of publication or on another date expressly stated in the notification.
If the distribution partner does not object within a period of one month from notification, its consent to the intended change shall be deemed to have been given. Failure to object within the time limit shall be deemed to constitute consent.

10. final provisions
Should any of the above provisions be or become invalid – for whatever legal reason – this shall not affect the validity of the remaining provisions.
The personal data of the customer received in connection with the business relationship will be processed electronically by the user in compliance with the statutory provisions.
The place of performance for deliveries and services is the registered office of viovia. See above for address. The place of jurisdiction for all disputes arising from the contractual relationship shall be the registered office of viovia.
